REGISTRATION
Historic Filipinotown Festival Committee Representatives (hereinafter referred to as HFFCR) reserves the right to allow Registrant to register for the Historic Filipintown Festival and 5k Run/Walk (hereinafter referred to as “Event”).
SELLERS PERMIT
It is your responsibility to obtain a seller’s permit as required by the State Board of Equalization. [A 2-day temporary permit application may be obtained by calling (800) 400-7115 or (310) 342-1000 (Culver City)]. There is NO fee for a temporary permit.)
PAYMENT
A non-refundable payment is due upon agreeing and submitting this registration form unless otherwise specified. Registrants who fail to pay in a timely manner will not be admitted to the Event and will lose their initial deposit.
CANCELATION / ADDITIONAL TABLE RESERVATION
Cancellation or additional fixtures such as tables and chairs must be forwarded to the Historic Filipinotown Festival Committee Representatives in writing. Conditional credits may be issued at HFFCR's sole discretion.
SHARING OR SUBLEASING
Registrant may not share or sublease their space; this includes renting, sharing, donating or in any other way allowing for another company or person to display or advertise in your paid space. Non-exhibiting Registrants will not be allowed to place stickers, handbills, or any signage anywhere within the Event. Additionally, Registrants caught sharing or subleasing will be charged the full booth space (e.g. if sharing a 10 x 10 booth, both companies pay the 10 x 10 rate).
ADMISSABLE BOOTHS
Exhibits that are disruptive, objectionable, or inappropriate in nature, as interpreted by the HFFCR, will be removed from the Event without refund. Any booths with models or content that may cause a back up in the isles must contact HFFCR for proper positioning (to avoid aisle blockage and fire hazard). Failure to do so will result in Registrants booth being removed from the Event without refund. Consumable food products or beverages are not permitted without consent from HFFCR. Sample item(s) may be confiscated. Any food items confiscated during the Event will be returned at close of event. Perishable items are not the responsibility of the HFFCR.
SALE OR SAMPLING OF MERCHANDISE
HFFCR reserves the right to limit or deny the over the counter sale of products and/or sampling (including but not limited to: giveaways, gift with purchase, promotions). A detailed list of items Registrant plans to distribute should be provided to HFFCR at least 7 days before the Event date. Any item(s) not approved in advance by the HFFCR may be confiscated by HFFCR during the Event. Any merchandise confiscated during the Event will be returned at the close of the Event.
LATE ARRIVALS
Standard Set up is between 7:00AM and 11:00AM during the Event day. Please check www.historicfilipinotown.com for changes or updates. Registrants arriving after this scheduled time can be relocated to any location by HFFCR, or may forfeit their Events participation rights without refund. All Booth presentations should have all merchandise or display units inside the Event premises before 11:00AM.
INSURANCE
Registrant is required to follow and use any of the security arrangements by HFFCR for property and valuables. The Registrant is solely responsible for personal property. Registrant is required to provide internal staffing to watch and maintain all booth property (e.g. Merchandise, Display Units, Promotional Collateral) including during the move in, the designated show hours, and after the Event.
INDEMNIFICATION
Registrant shall fully indemnify, defend, and hold the HFFCR, and all it’s managers, members, directors, officers, employees, agents, successors, and assigns harmless from any and all losses, damages, expenses, claims, judgments, liabilities, suites, and proceedings of any nature, whether accrued, absolute, contingent, or otherwise which arise from (i) Registrants breech of the agreement, (ii) any damage or deficiency resulting from misrepresentation in or omission from any document, instrument, record, statement, or certificate, furnished or to be furnished, to HFFCR hereunder, (iii) any act or omission of Registrant or any shareholders, directors, officers, employees, agents, successors, and assigns, and (iv) all actions, suites, proceedings, demands, assessments, judgments, costs and expenses incident to any of the foregoing. In addition, Registrant shall reimburse to HFFCR. On demand, for any payment made by the HFFCR in respect of any liability or claim to which the foregoing indemnity relates.
COPYRIGHTS
Registrant hereby assumes all costs and expenses arising from Registrant’s or Registrant’s agents’ or employee’s incorporation or use during the Event of any music, written material, dramatic lights, inventions, or devices that are subject to any copyright, trademark, trade name, patent, franchise or other contractual or statutory protection. Registrant agrees to indemnify and hold harmless the HFFCR , it’s directors, officers, and employee’s from any claims, damages, costs or expenses. Including legal fees, which might arise out of or in connection with such incorporation or use. HFFCR plans to document the Event through still photography and video photography from the Event, which footage may contain Registrants Name, or the names or Merchandise or Products brought into the Event by Registrant. Registrant consents to the use of it’s name, and logo in such still photography, programming, and the advertising and exploitation thereof in any and all media before, during, and after the Event and not withstanding anything to the contrary contained in this agreement. Registrant hereby waives any approval rights with respect to such still or video photography and programming.
FORCE MAJEURE
If the Event cannot take place, in whole or in part, because of an act of God, national emergency, war, labor dispute, fire cause, or other unforeseen occurrence, or any other cause beyond the control of the HFFCR or which the HFFCR is unable to avoid by exercise of due diligence, HFFCR shall have no obligation or liability whatsoever to Registrant as a result thereof. Additionally, dates and location of Events may change at any time at the discretion of the HFFCR.
OTHER ITEMS
A) The HFFCR shall have full power in the interpretation and enforcement of all registration terms and any further stipulations considered necessary for the proper conduct of the Event.
B) Registrant agrees to comply with all pertinent laws, codes, and regulations of municipal or other authorities that affect the show floor space.
C) Sponsor Exclusivity: You may not display or sell products that compete with Sponsors of The Historic Filipinotown Festival. Please check with your sales representative for a complete listing of companies.
